Agreement to Terms
By accessing or using the DepthParallel application (the "App"), you acknowledge, represent, and warrant that you have carefully reviewed, fully understood, and expressly consent to be legally bound by these Terms of Use (the "Terms"). Should you not agree to any provision contained herein, you must immediately discontinue all access to and use of the App.
Developer and scope. The App is developed and operated solely by me ("I", "me", or "my") on behalf of Baxiang Technology Co.，Limited, the entity that publishes the App. The App is designed for and supported only on iPhone devices. It is not intended for, and I do not guarantee compatibility with or support for, iPad, other tablets, or any non‑iPhone device. Use of the App on unsupported devices is at your own risk.
Service Overview
DepthParallel provides artificial intelligence-powered functionalities, including but not limited to image processing, creative tools, and content generation (collectively, the "Service"). I retain the exclusive right, in my sole and absolute discretion and at any time, to alter, suspend, restrict, or permanently terminate any aspect or feature of the App or Service, with or without prior notification, and without incurring any liability whatsoever to you or any third party.
Apple In-App Purchase Terms
In-App Purchases: The App may offer certain features, content, or services that are available for purchase through Apple's In-App Purchase system ("IAP"). All purchases made through IAP are processed by Apple Inc. and are subject to Apple's Terms and Conditions and Apple's App Store Terms of Service.
Payment and Billing: All payments for in-app purchases are processed through your Apple ID account. By making a purchase, you agree to pay the price displayed at the time of purchase. Prices may vary by region and are subject to change without notice. You bear responsibility for any applicable taxes that may be charged by Apple or your local tax authority.
Refund Policy: All purchases are final and non-refundable, except as required by applicable law or as otherwise provided by Apple's refund policy. If you believe you are entitled to a refund, you must contact Apple directly through their standard refund process. I do not process refunds directly and cannot override Apple's refund decisions.
Restoration of Purchases: If you have previously purchased in-app content, you may be able to restore your purchases on a new device or after reinstalling the App. To restore purchases, use the "Restore Purchases" feature within the App, which will verify your purchase history with Apple.
Content Availability: Purchased content is tied to your Apple ID and may not be transferable to other accounts or devices except through Apple's standard mechanisms. I retain the right to modify, suspend, or discontinue any purchasable content at any time, with or without notice.
Subscriptions & Payments
Auto-Renewal: Your subscription will continue to renew automatically at each billing interval unless cancelled in accordance with this section. Prior to each renewal, Apple Inc. will bill the subscription price to the Apple ID account associated with your purchase, generally within the twenty-four (24) hour window before the new billing period commences.
Cancellation: You are solely responsible for managing your subscription. To avoid being charged for the next billing cycle, you must cancel through your App Store account settings (via Settings on your iPhone) no later than twenty-four (24) hours before your current subscription period expires. I have no authority to cancel or modify your subscription status.
Refunds: Subscription payments are generally non-refundable. Notwithstanding the foregoing, refunds may be available where required by applicable consumer protection laws or where Apple, in its sole discretion, approves a refund request under its standard policies. You must direct all refund inquiries to Apple.
User Responsibilities
You agree to use the App in strict conformity with all applicable laws, statutes, regulations, and regulatory requirements, as well as these Terms. You shall refrain from misusing, interfering with, or disrupting the normal operation of the App, and you shall not infringe upon the legitimate rights and interests of me, other users, or any third party. Prohibited conduct includes, without limitation: uploading, transmitting, or distributing any unlawful, infringing, defamatory, obscene, offensive, or otherwise harmful content; using the App for fraudulent or deceptive purposes; attempting to reverse engineer, decompile, disassemble, or otherwise derive the source code of the App; attempting to gain unauthorized access to any portion of the App, related systems, or networks; or engaging in any conduct that may compromise the security, integrity, or availability of the App or Service.
Limitation of Liability
To the fullest extent permitted by applicable law, I and my licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, nor for any loss of profits, revenue, business, goodwill, or data, whether incurred directly or indirectly, arising out of or in connection with your access to or use of, or your inability to access or use, the App or the Service, even if I have been advised of the possibility of such damages. My aggregate total liability for all claims arising out of or relating to these Terms, the App, or the Service, whether in contract, tort, or otherwise, shall in no event exceed the amount you have actually paid to me (if any) for your use of the relevant portion of the Service during the three (3) months immediately preceding the event giving rise to such claim.
Privacy
Your privacy is of paramount importance to me. Please carefully review my Privacy Policy, which constitutes an integral part of these Terms, to understand in detail how I collect, use, process, store, and protect your personal information and other data. By accessing or using the App, you acknowledge and agree that I may handle your information in accordance with the Privacy Policy and applicable laws, and you hereby provide your explicit and informed consent to my data processing practices as described therein.
Account and Access
Certain features or functions of the App may require that you establish and maintain a user account. You bear sole responsibility for the accuracy and completeness of the information you provide, for maintaining the strict confidentiality and security of your login credentials, and for all activities conducted under your account, whether authorized by you or not. You must immediately notify me if you become aware of or suspect any unauthorized access to, or use of, your account or any other security incident. I shall not be liable for any loss or damage whatsoever arising from your failure to adequately safeguard your account information.
Intellectual Property
All rights, title, and interest in and to the App and the Service, including but not limited to all content, text, images, graphics, user interfaces, visual interfaces, trademarks, logos, service marks, domain names, software, code, algorithms, and underlying technology (collectively, the "Intellectual Property"), are the exclusive property of me or my licensors and are protected by applicable intellectual property and other laws. Except as expressly authorized by me in writing, you shall not, directly or indirectly, copy, reproduce, modify, adapt, translate, distribute, publicly display, publicly perform, publish, license, sell, assign, or create derivative works based on any portion of the Intellectual Property, nor shall you remove, obscure, or alter any copyright, trademark, or other proprietary notices.
Third-Party Services
The App may contain links, interfaces, or integrations to third-party websites, applications, products, or services (collectively, "Third-Party Services"). Such Third-Party Services are provided solely for your convenience. I exercise no control over and disclaim all responsibility and liability for the content, accuracy, availability, security, privacy practices, or terms and conditions of any Third-Party Services. Your access to and use of any Third-Party Services is entirely at your own risk and is subject to the separate terms, conditions, and privacy policies of such third parties. I make no representation, warranty, or endorsement whatsoever of any Third-Party Services.
User Content
You retain all ownership rights in and to any data, images, text, or other materials that you submit to or generate through the App ("User Content"). However, by submitting, uploading, or otherwise making User Content available in connection with the App or the Service, you hereby grant to me a non-exclusive, worldwide, royalty-free, sublicensable and transferable license to use, reproduce, host, store, process, display, and otherwise handle such User Content solely to the extent necessary for operating, maintaining, improving, and providing the App and the Service to you and other users, and for ensuring compliance with applicable laws and these Terms. You represent, warrant, and agree that you possess all necessary rights, licenses, and consents to provide the User Content and to grant the foregoing license, and that such User Content does not violate any applicable law or the rights of any third party. You shall bear full responsibility and liability for all User Content you provide.
Disclaimer of Warranties
To the maximum extent permitted by applicable law, the App and the Service are provided on an "AS IS", "AS AVAILABLE", and "WITH ALL FAULTS" basis. I do not make, and hereby expressly disclaim, any and all representations and warranties of any kind, whether express, implied, or statutory, including but not limited to any warranties of merchantability, fitness for a particular purpose, accuracy, reliability, availability, non-infringement, or that the App or Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. You acknowledge and agree that your use of the App and Service is entirely at your own sole risk.
Termination
I retain the exclusive right, in my sole discretion, to suspend, restrict, or terminate your access to and utilization of the App or your account, in whole or in part, at any time and without prior notice, if I reasonably believe that you have violated these Terms, engaged in unlawful or abusive conduct, or otherwise acted in a manner that may cause harm or potential harm to me, other users, or any third party. Upon any termination or suspension, your right to utilize the App shall immediately cease, and I may, to the extent permitted by law, delete or disable access to your account and any related information or content. Termination shall not limit or affect any other rights or remedies available to me under these Terms or applicable law.
Changes to Terms
I may, from time to time and in my sole discretion, revise, update, or otherwise modify these Terms. Any material changes will, where required by law, be communicated by means of in-App notifications, website announcements, or other appropriate methods. Unless otherwise required by applicable law, the revised Terms shall become effective as of the date specified therein. Your continued access to or use of the App after the effective date of any changes shall be deemed to constitute your full acceptance of the revised Terms. You are encouraged to review these Terms periodically to ensure that you remain informed of the current provisions.
Termination
I retain the exclusive right, in my sole discretion, to suspend, restrict, or terminate your access to and utilization of the App or your account, in whole or in part, at any time and without prior notice, if I reasonably believe that you have violated these Terms, engaged in unlawful or abusive conduct, or otherwise acted in a manner that may cause harm or potential harm to me, other users, or any third party. Upon any termination or suspension, your right to utilize the App shall immediately cease, and I may, to the extent permitted by law, delete or disable access to your account and any related information or content. Termination shall not limit or affect any other rights or remedies available to me under these Terms or applicable law.
Governing Law
These Terms, as well as any dispute, controversy, or claim arising out of or in connection with these Terms, the App, or the Service, shall be governed by and construed in accordance with applicable laws, without giving effect to any choice of law or conflict of law provisions that would result in the application of the laws of any other jurisdiction.
